These Terms of Service govern your access to and use of Lulu Ledger, including our website, software, dashboard, reports, tools, mobile-accessible features, integrations, account services, subscriptions, and related products or services.

By creating an account, accessing Lulu Ledger, clicking "I agree," subscribing, or using any part of the service, you agree to these Terms. If you do not agree, do not use Lulu Ledger.

1. About Lulu Ledger

Lulu Ledger is a software platform designed to help users organize business income, expenses, receipts, mileage, transactions, categories, deals, reports, estimates, and related financial information.

Lulu Ledger is a recordkeeping, organization, reporting, and planning tool. Lulu Ledger is not an accounting firm, CPA firm, bookkeeping firm, law firm, tax preparer, financial advisor, payroll provider, investment advisor, or professional advisory service.

Lulu Ledger does not provide tax, legal, accounting, financial, investment, audit, payroll, or compliance advice.

You are solely responsible for reviewing your information, confirming its accuracy, maintaining your own records, and consulting with your CPA, accountant, attorney, tax professional, financial advisor, or other qualified professional before relying on any data, category, report, estimate, export, calculation, deduction, or summary.

2. Eligibility

You must be at least 18 years old and legally able to enter into binding agreements to use Lulu Ledger.

If you use Lulu Ledger on behalf of a company, business, entity, or other organization, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

You may need to create an account to use certain features. You agree to provide accurate, current, and complete account information and to keep it updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly if you believe your account has been compromised or accessed without authorization.

We are not responsible for losses caused by unauthorized account access resulting from your failure to protect your login credentials, devices, email account, or other access points.

4. User Responsibility for Data

You are responsible for all information entered, imported, uploaded, synced, categorized, edited, approved, exported, deleted, or otherwise processed through your account.

This includes information from: manual entries; bank feeds; credit-card feeds; Plaid or similar integrations; Stripe or other payment processors; CSV imports; receipt uploads; mileage logs; deal records; business records; user-created categories; reports and exports; and any other connected or uploaded source.

You acknowledge that errors may occur, including but not limited to: user entry errors; missing transactions; duplicate transactions; incorrect transaction imports; bank feed delays; integration interruptions; incorrect categories; user-created category mistakes; inaccurate assumptions; deleted records; CSV formatting issues; receipt image quality problems; mileage tracking errors; deal assignment errors; sync delays; software bugs; database errors; third-party service issues; and browser, device, or internet problems.

Lulu Ledger is not responsible for consequences arising from inaccurate, incomplete, missing, delayed, duplicated, corrupted, deleted, miscategorized, or improperly entered data.

5. No Professional Advice

Lulu Ledger may display reports, summaries, dashboards, transaction categories, expense categories, tax reserve estimates, income totals, profit-and-loss summaries, mileage summaries, deal profitability, receipt records, or other business information.

All such information is provided for general planning, organization, and recordkeeping purposes only.

Lulu Ledger does not guarantee that any category, deduction, estimate, transaction, report, receipt, mileage entry, export, calculation, or summary is accurate, complete, deductible, compliant, audit-ready, legally sufficient, or acceptable to any CPA, accountant, attorney, tax authority, lender, investor, court, government agency, or other third party.

You are solely responsible for determining whether your records, expenses, deductions, income, mileage, receipts, reports, and tax positions are accurate, lawful, supportable, and appropriate for your business.

6. Tax Estimate Disclaimer

Any tax-related feature, tax reserve suggestion, self-employment tax estimate, income tax estimate, or set-aside calculation is an estimate only.

Tax estimates are based on information, percentages, assumptions, and rates selected, entered, imported, or approved by the user.

Lulu Ledger does not calculate your final tax liability and does not determine your federal, state, local, estimated, quarterly, self-employment, payroll, sales, use, franchise, business, or other tax obligations.

You are responsible for confirming your actual tax obligations with a qualified tax professional.

7. User Responsibility for Record Retention and Backups

You are responsible for maintaining your own copies, backups, receipts, invoices, mileage records, bank records, credit-card records, accounting records, tax records, reports, exports, and supporting documentation.

Lulu Ledger may provide tools to store, organize, upload, download, or export certain information, but Lulu Ledger is not a substitute for your own record retention system. You should regularly export and back up your data.

Lulu Ledger is not liable for lost, corrupted, incomplete, inaccessible, unavailable, deleted, or unrecoverable data, whether caused by user action, software issue, third-party service failure, hosting issue, cyber incident, outage, account closure, payment failure, or any other cause.

IRS guidance recognizes electronic storage systems for certain books and records when requirements are met, but users remain responsible for maintaining adequate records and supporting documentation.

8. Service Availability, Downtime, and Performance

Lulu Ledger may be unavailable, delayed, interrupted, limited, degraded, or discontinued from time to time.

We do not guarantee: continuous access; error-free operation; specific uptime; specific speed; specific sync timing; specific report generation timing; compatibility with every browser, device, bank, credit card, financial institution, or integration; uninterrupted third-party connections; permanent availability of any feature; or preservation of all data under all circumstances.

Downtime, lag, delays, errors, and interruptions may result from maintenance, updates, hosting providers, third-party integrations, API limits, database issues, security issues, internet disruptions, user volume, software errors, vendor failures, or events outside our control.

Lulu Ledger is not liable for any loss, damage, penalty, claim, missed deadline, lost deduction, tax issue, accounting issue, business interruption, lost opportunity, revenue loss, data loss, or other harm caused by downtime, lag, delay, unavailable service, sync failure, or service interruption.

9. Beta, Testing, and Early Access

If you use Lulu Ledger during a beta, pilot, private launch, founding partner period, early-access period, internal testing period, or pre-release phase, you acknowledge that the service may be incomplete, unstable, inaccurate, or subject to change.

During these periods: features may change; features may be removed; data may need to be corrected; reports may contain errors; integrations may fail; settings may be reset; performance may vary; access may be limited; and the product may not be suitable as your sole system of record.

You should not rely on beta, early-access, or testing versions of Lulu Ledger as your only source of financial, tax, accounting, or business records.

10. Third-Party Services and Integrations

Lulu Ledger may connect with or rely on third-party services, including but not limited to: Plaid; Stripe; banks; credit-card providers; payment processors; hosting providers; database providers; email providers; analytics providers; security tools; customer-support tools; AI tools; cloud infrastructure providers; and other software providers.

We do not control third-party services and are not responsible for their availability, security, accuracy, performance, pricing, policies, terms, privacy practices, errors, outages, delays, data practices, API limits, or failures.

Your use of third-party services may be subject to their separate terms, policies, and privacy notices.

If a third-party service delays, duplicates, omits, corrupts, mislabels, restricts, disconnects, or incorrectly transmits data, Lulu Ledger is not responsible for resulting losses, errors, penalties, damages, or claims.

11. Free Trials, Subscriptions, Billing, Cancellation, and Refunds

Certain Lulu Ledger features require a paid subscription.

Eligible new customers may receive a 14-day trial of the full product. A payment method is required at signup, and $0 is charged at that time. The trial begins when the account is created and ends on the date and time displayed in the account. Free trials are generally limited to one per person or business, and Lulu Ledger may restrict additional trials created to avoid that limitation.

No charge is made at signup. Unless the subscription is canceled before the trial ends, it begins automatically at the end of the trial and the payment method is charged on the displayed trial-end date.

You may choose a Monthly or Annual subscription during the trial. Before subscribing, you will be shown the price, billing frequency, first-charge date, automatic-renewal terms, and cancellation method. If you select a plan during the trial, the first payment is scheduled for the displayed trial-end date. If you subscribe after the trial ends, the first payment is charged when you subscribe.

By selecting a paid plan and providing a payment method, you authorize Lulu Ledger and its payment processor to charge the disclosed subscription fees, applicable taxes, and related charges. Subscription fees are billed in advance.

Monthly and Annual subscriptions renew automatically unless renewal is canceled before the next billing date. You may cancel renewal through Settings → Billing. If you cannot access billing settings, contact Lulu Ledger Support. Cancellation stops future renewal but preserves access through the end of the current trial or paid billing period.

Canceling does not create a prorated refund for unused time.

The first successful Monthly or Annual subscription payment is eligible for a full refund if requested within 30 calendar days of the charge. This protection applies only to the first paid charge, does not restart after cancellation or reactivation, and does not apply to renewal payments.

Renewal payments are non-refundable except for duplicate charges, confirmed billing errors, refunds required by law, or an exception expressly approved by Lulu Ledger.

Founder pricing is assigned only after the first successful subscription payment and remains available only while the subscription stays continuously active. Starting a trial or scheduling a subscription does not reserve Founder pricing.

Failed payments may be retried by Lulu Ledger or its payment processor. If a payment remains unresolved after the applicable recovery period, access may be limited or paused.

Additional details are provided in the Refunds & Cancellation Policy, which is incorporated into these Terms by reference.

12. Intellectual Property Ownership

Lulu Ledger, including its software, code, object code, source code, structure, architecture, workflows, reports, dashboards, layouts, user interface, design elements, business logic, templates, copy, naming, categories, features, product concepts, graphics, icons, documentation, database design, know-how, trademarks, logos, trade dress, and all related intellectual property are owned by Lulu Labs LLC or its licensors.

Except for the limited right to use Lulu Ledger under these Terms, no ownership rights are transferred to you.

You may not copy, reproduce, modify, distribute, sell, lease, license, sublicense, publish, display, reverse engineer, decompile, disassemble, scrape, frame, mirror, clone, create derivative works from, or otherwise exploit Lulu Ledger or any part of the service.

13. Competitive Use and Reverse Engineering Prohibited

You may not access or use Lulu Ledger for the purpose of competing with us, copying us, evaluating us for competitive development, benchmarking us for a competing product, or assisting another person or company in doing so.

You agree not to: copy Lulu Ledger's screens, layouts, workflows, reports, dashboards, categories, structure, or business logic; build or assist in building a competing product based on Lulu Ledger; reverse engineer or attempt to derive source code, database structure, workflows, or system logic; use scraping, crawling, bots, automated access, or unauthorized APIs; share your account with developers, competitors, consultants, contractors, or third parties for competitive analysis or copying; circumvent access controls, subscription limits, technical restrictions, or security measures; or misuse Lulu Ledger's name, brand, logo, designs, or materials.

You acknowledge that violation of this section may cause irreparable harm. Lulu Labs LLC may seek injunctive relief, damages, attorneys' fees, account termination, and all other remedies available by law.

14. Feedback and Suggestions

If you provide ideas, suggestions, comments, improvements, feature requests, bug reports, designs, workflows, business ideas, or other feedback, you grant Lulu Labs LLC a perpetual, worldwide, irrevocable, royalty-free, transferable, sublicensable right to use, modify, implement, commercialize, publish, and otherwise exploit that feedback without compensation, credit, or obligation to you.

You agree that Lulu Labs LLC may use feedback to improve Lulu Ledger, develop new products, create new features, or support business growth.

15. User Content

You retain ownership of the data, documents, receipts, records, and other content you upload, enter, import, or connect to Lulu Ledger.

You grant Lulu Labs LLC a limited license to host, store, process, display, transmit, analyze, secure, back up, and use your content as necessary to provide, maintain, support, improve, and operate Lulu Ledger.

You represent that you have the right to upload, enter, import, connect, process, and use all information submitted through your account. You agree not to upload unlawful, infringing, deceptive, harmful, malicious, or unauthorized content.

16. Aggregated and De-Identified Data

We may use aggregated, anonymized, or de-identified information to analyze usage, improve the service, monitor performance, identify trends, develop features, improve security, and support business operations.

We will not intentionally use aggregated or de-identified data to identify you personally.

17. AI, Automation, and Suggested Classifications

Lulu Ledger may use automated systems, rules, algorithms, artificial intelligence, or third-party tools to support categorization, insights, summaries, suggestions, or other features.

Automated outputs may be inaccurate, incomplete, outdated, or inappropriate for your specific circumstances. You are responsible for reviewing, approving, correcting, or rejecting any automated suggestion, categorization, report, summary, or estimate.

Lulu Ledger is not responsible for any reliance on automated outputs without user review and professional verification.

18. Prohibited Uses

You may not use Lulu Ledger to: violate any law, regulation, tax rule, court order, or third-party right; commit fraud, tax evasion, misrepresentation, money laundering, or unlawful activity; misrepresent information to CPAs, accountants, attorneys, lenders, investors, clients, taxing authorities, or government agencies; upload malicious code, viruses, or harmful files; interfere with the security or operation of the service; attempt unauthorized access to accounts, systems, networks, or databases; scrape, crawl, copy, or extract data without authorization; use the service to build, train, or improve a competing product; store or transmit unlawful, infringing, defamatory, deceptive, or harmful content; or damage, disable, overload, impair, or interfere with Lulu Ledger.

19. Privacy

Your use of Lulu Ledger is also governed by our Privacy Policy. The Privacy Policy explains how we collect, use, share, retain, and protect information. By using Lulu Ledger, you agree to the Privacy Policy.

20. Privacy Law Applicability

Lulu Ledger is designed for small businesses, independent professionals, and solo entrepreneurs.

Certain state, federal, or international privacy laws may not apply to Lulu Ledger at all times because of company size, revenue, number of users, data volume, processing activity, location, exemptions, or statutory thresholds.

Where legally required, Lulu Ledger will comply with applicable privacy laws. Where a privacy law does not legally apply, Lulu Ledger may still provide reasonable privacy controls as a business practice, but doing so does not waive any legal exemption or create additional contractual obligations beyond those expressly stated in these Terms or our Privacy Policy.

21. No Data Sale

Lulu Ledger does not sell your personal information, financial data, transaction data, receipt data, report data, or business records.

Lulu Ledger does not share user financial data with third parties for their independent advertising, marketing, or commercial use.

Lulu Ledger may use service providers as needed to operate the platform, process payments, provide integrations, host data, secure the service, support users, improve performance, analyze product usage, and comply with law.

22. Suspension and Termination

We may suspend, restrict, or terminate your access if we believe you have: violated these Terms; failed to pay fees; misused the service; created legal, security, operational, or reputational risk; used the service for unlawful, abusive, fraudulent, competitive, or unauthorized purposes; attempted to copy, reverse engineer, scrape, or exploit Lulu Ledger; or interfered with the security or operation of the service.

We may also modify, limit, discontinue, or terminate any feature or service at any time. Upon termination, your right to use Lulu Ledger ends immediately.

We may delete, restrict, retain, or preserve account data subject to our Privacy Policy, legal obligations, backup practices, security needs, dispute resolution, billing obligations, and operational requirements.

Ordinary expiration of a trial or paid subscription is handled according to the Refunds & Cancellation Policy and Privacy Policy, including the generally applicable 90-day account-data retention period. Suspension or termination for breach, fraud, security risk, unlawful conduct, or misuse may result in immediate restrictions and may be treated differently where permitted by law.

23. Disclaimer of Warranties

Lulu Ledger is provided "as is" and "as available."

To the fullest extent permitted by law, Lulu Labs LLC disclaims all warranties, express, implied, statutory, or otherwise, including warranties of accuracy, completeness, reliability, availability, merchantability, fitness for a particular purpose, title, non-infringement, data integrity, tax compliance, accounting compliance, legal compliance, uninterrupted service, and error-free operation.

We do not warrant that Lulu Ledger will: meet your needs; prevent accounting errors; prevent tax errors; preserve every record; identify every deduction; correctly classify every transaction; be accepted by any CPA, accountant, attorney, lender, tax authority, court, agency, or third party; or operate without interruption, delay, loss, defect, or error.

24. Limitation of Liability

To the fullest extent permitted by law, Lulu Labs LLC and its owners, officers, employees, contractors, affiliates, vendors, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages.

This includes damages for: lost profits; lost revenue; lost data; corrupted data; deleted data; business interruption; tax penalties; missed deductions; accounting errors; audit issues; inaccurate reports; inaccurate estimates; incorrect categories; missed deadlines; lost goodwill; lost opportunities; downtime; lag time; sync failures; security incidents; third-party service failures; and reliance on Lulu Ledger outputs.

To the fullest extent permitted by law, Lulu Labs LLC's total liability for any claim will not exceed the amount you paid to Lulu Ledger during the three months before the event giving rise to the claim, or $100, whichever is greater.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

25. Indemnification

You agree to defend, indemnify, and hold harmless Lulu Labs LLC and its owners, officers, employees, contractors, affiliates, vendors, licensors, and service providers from any claims, damages, losses, liabilities, penalties, costs, expenses, and attorneys' fees arising from or related to: your use or misuse of Lulu Ledger; your data, entries, uploads, categories, reports, exports, estimates, or records; your violation of these Terms; your violation of law; your violation of third-party rights; your tax, accounting, legal, financial, or business decisions; information you provide to CPAs, accountants, attorneys, lenders, investors, clients, taxing authorities, government agencies, or other third parties based on Lulu Ledger data; or your use of Lulu Ledger for competitive, unauthorized, fraudulent, or unlawful purposes.

26. Force Majeure

Lulu Labs LLC is not responsible for delay, failure, interruption, or loss caused by events outside our reasonable control, including natural disasters, fires, floods, storms, power failures, internet failures, cyberattacks, labor disputes, government actions, war, terrorism, pandemics, third-party service failures, hosting failures, API failures, financial institution outages, or other events beyond our control.

27. Changes to the Service or Terms

We may update Lulu Ledger and these Terms from time to time. Changes may include new features, removed features, modified pricing, revised terms, updated policies, security changes, operational changes, or legal updates.

If changes are material, we will make reasonable efforts to provide notice. Your continued use of Lulu Ledger after changes become effective means you accept the updated Terms.

28. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or Lulu Ledger will be brought in the state or federal courts located in Broward County, Florida, unless otherwise required by law.
